This proposal is to hire @clayboyn as a Community and Project Manager for the SPS DAO for the period of one year at the rate of $60,000 USD, to be paid in monthly installments of $5,000 in USDT tokens. Members of the DAO would be free to submit a proposal to terminate this position for any reason. @clayboyn will maintain the right to terminate the position at the end of any monthly pay period for any reason as well.
It is extremely important that we increase and maintain the separation between the DAO and the Splinterlands company going forward, which is why I believe it will be very beneficial for the DAO to directly hire someone to act as its representative in dealing with Splinterlands, as well as other outside organizations, such as exchanges, in order to ensure that the DAO's interests are being seen to.
To date, the Splinterlands company has been providing a number of services on the DAO's behalf, for free, but given the company's need to aggresively manage expenses and the DAO having significant resources available, it is time for the DAO to begin to handle things like tournament creation, working with outside third-parties, and overseeing the implementation of passed proposals on its own.
Responsibilities
This role will primarily see to the following list of responsibilities, however I expect the responsibilities to naturally grow and change over time as the needs of the project change, and it is important that the person taking on this role is able to grow and adapt with the ecosystem, which I feel that Clayboyn will be able to handle quite well.
- Oversee and manage the implementation of any approved governance proposals, including interfacing with the Splinterlands team and/or any other external organizations to ensure that proposals are implemented correctly and in a timely manner, as well as keeping the community apprised of the status
- Work directly with the Splinterlands team to provide feedback on player sentiment and desires ensuring representation from the community
- Work with the Splinterlands team and community to vet and establish strategic partnerships in the Web3 space for the SPS DAO
- Act as a liason for the DAO in any Market Maker or Exchange listing negotiations
- Create and maintain DAO-sponsored Splinterlands tournaments and work with the community to gather feedback on tournament schedules and parameters
- Work with community members to offer guidance on new SPS proposal ideas to ensure that they are clear, complete, and can be realistically implemented should they be approved
- Promote and grow awareness for the SPS token on social media
- Work with the Splinterlands team and the community to help manage and moderate the Splinterlands discord server
Qualifications
I believe that Clayboyn is quite qualified for this role and after having had the pleasure of working with him over the past few years I believe he would do an excellent job and provide significant value to the DAO if given the opportunity.
- He has over 2 years of experience working directly with the Splinterlands team to manage and grow social media accounts, helping to moderate the Discord server and helping with establishing and handling strategic partnerships.
- He’s been a major part of Exchange and Market Making discussions related to the SPS DAO and has worked closely with @blockchainff to vet any potential partnerships to ensure they negotiate the best terms possible for the DAO.
- He has a fundamental understanding of the Splinterlands ecosystem, the underlying tech, including the HIVE blockchain, and a strong grasp on community sentiment and has a willingness to have honest and transparent discussions to work towards a brighter future for the SPS DAO and Splinterlands.
- He has over 10 years of experience in crypto working with multiple projects to build communities and has even hosted tournaments for Splinterlands as a volunteer in the early days.
- He’s extremely passionate about both the SPS DAO and Splinterlands and will work tirelessly to help both succeed.
Final Thoughts
I expect that many members of the community might question the need for the DAO to hire someone to work for it directly, and if that would be worth the cost. I believe that as the Splinterlands team steps back from the role of managing the DAO, the need will quickly become more apparent.
From a cost perspective, the $60k being offered as an annual salary for this role comes to only about 4% of the non-SL funds that the DAO currently has available (this mean funds that are not held in Splinterlands tokens such as DEC, SPS, or packs). This is quite small and I believe it would be well worth it to have someone directly working for the SPS token holders full time.
Additionally, this is in no means a permanent arrangement. As mentioned at the start of the proposal, the term of this contract is one year, at which point a new proposal would need to be passed for it to continue. On top of that, the DAO can vote to end the contract early at any time and for any reason. Ultimately, I believe that this is a relatively small cost for a large potential opportunity, without requiring any long-term commitment, and I believe the community is unlikely to find anyone more qualified than @clayboyn for such a reasonable rate.
UPDATE
After receiving feedback from the community, I feel it will be beneficial to add one additional item to this proposal:
Assuming this proposal passes, any future proposals to end this contract will only need a 50%+ majority vote to pass rather than the typical 66.6%. This will help reduce the risk to the DAO of accepting this proposal and ensure that a 33+% minority cannot keep the contract in place if the majority of staked SPS token holders wants to end it.
I think Clay is a good choice for this role. I have found him to be reasonable and balanced on most issues, and I trust him. I think he has been and will continue to be an asset to the community (whether in this role or not).
While I agree he is perfect for this role, I worry about the tax implications this will eventually bring up. Is the DAO going to issue 1099s now? How does that get done?
Also where is Clayboyn based out of? Is 60k a reasonable salary for that region? What sorts of measurable performance will we have to justify the salary?
We are playing with fire here and the IRS will want its cut.
I do think the SPS DAO would have to 1099 him, I think that's pretty standard. As far as the cost and the measurable performance, those are both valid issues. In fact I think most that are voting against are for these 2 reasons, as most people like and trust Clay himself.
Its come to light that Clay is based out of Thailand so US tax law isn't relevant but that definitely calls to question the salary.

I feel like $60,000 USD a year is a very reasonable asking price, seeing how Clay will probably work 60+ hours a week, not even talking about his engagement in Discord.
I actually think quite the opposite. He resides in Thailand where . 60k/yr could pay for at least 2 prob 3-4 full stack developers. 60k is an incredibly high salary even for someone based in the US. The median US household income, ie the income of all people in a home combined is 74k. For perspective the average salary in Thailand is somewhere around 13k USD.
Agreed. It's a huge salary. He might be living in Phuket where it won't go quite as far, but most other parts of Thailand, you can eat well for $1.5 and get an absolutely gorgeous apartment for under $500 a month

Actually I have a bunch of other questions and remarks:
1/ The social media management was not especially amazing until now , just functional I would say. So why hiring the same person instead of fresh blood with fresh ideas ? Like an expert in the domain for example (and especially for 60k ... )
2/ 60 000 USD per year is a huge amount of money, something you only get at fairly high level positions in rich countries, that does not seems a good fit for the job as it is described here. I mean there are much more valuables ways to spend 60k for the game (like hiring more full time devs for actually delivering ... )
3/ Either SPL ask DAO for funding (or a loan!) and they hire the guy they want, we trust you guys, or there should be an official job description, job posting and reviewing where the community can participate. Otherwise it sends the wrong signal (nepotism and corruption), and I won't teach you anything by telling you that the success of crypto projets is all about trust.
4/ Why don't we start agreeing to put that DAO money to work and then hire people with that APR money ?
5/ I am repeating the same thing over and over, but SPL need first content and then promotion. I would gladly approve a proposal to hire a senior game developer for 60k ! The problem is not money but return on investment, and right now the game needs to deliver and build trust.
I have other comments in mind but I will stop for now, and I would like to say that there is nothing personal against anyone, just my thoughts.
It's come back from the community feedback I've gotten that it's not worth risking the DAO money to collect some APR. While that was my thought at first to get that money working and generating some flow I can see how it would have risks. However on that same level I'm thinking if the DAO ends up holding 10 million bucks worth of stuff that 10% 1 million invested into something like USDC earning 5% would be worth it as that would pretty much cover something like the above is being proposed or at least start building value into the SPS token etc. such as a buy back and burn of SPS. It just feels like we keep exiting money OUT of the game instead of back into asset values which ultimatly is what many people care about.

Alright, but in this case I do not see the point of pushing the DAO's social media. All members of the DAO are on SPL and Hive and it is not very interesting for other people.
Also, the SPL team specifically said that they would need to be hired by the DAO to perform some development work.
So let's wait and see but I think the DAO will be asked for funding game development in the near futur, like the Rebellion system maybe.

The main driver of value to the DAO right now is the game. If they are separate there is zero reason for the DAO to have one right now.
This smells like the Splinterlands company is still struggling and trying to further cut costs via passing on its problems to the DAO.
Give clayboyn a change. The SPS can fire him anytime as part of the proposal if he doesn't deliver. 60000 USDT is a lot, I agree, but he has a lot of experience already. But there should be more transparency in the future. clayboyn should report to SPS DAO stakeholders in the future and tell them why and what he is doing and what benefits the SPS DAO has from his work.
Well, I have nothing against Clayboyn, it is really not personal as I do not know him. Actually, because he was recommended by Matt I believe he is indeed a good choice for the job.
But I am not convinced this is the best investment. As I said, I would happily approve a proposal to hire developers as the game is in dire need for basic features such as a nice and modern android/iOS app.
I agree with a lot of this and you aren't even touching on some of my biggest fears, violating US employment and tax laws.
We are treating him like a contractor here but is he really a contractor based on the type and condition of his work? Is the DAO somehow going to start issuing 1099s? As the DAO is community owned, do we as SPS holders now have business expenses which will end up on tax returns.
I really don't want to go down this route of being an employer.
Payments based on hourly rate and number of hours done for already completed work seem far more reasonable and secure for the DAO, in my view. They also give opportunity for multiple people to offer to do the needed work, which supports decentralization and avoids single points of failure.
For example, a person does some amount of work and then they put in a proposal for the work they have done to be paid. They describe how many hours the work took and what their hourly rate is. The risk for the person is minimized since the DAO would be very happy to provide the payment so that the person will want to continue providing their valuable work.
There is a vast opportunity which will sadly be lost if you think of a DAO as a typical company that is putting people on a payroll. The DAO allows for massive flexibility. Let's use the technology's possibilities.
This still allows anyone to be engaged full time. They'll just take on as much or as little work as they want. The flexibility is great to have for the person, they can work when they want. The result? Far more happiness, far better work being done.

But I think we should pre approve a budget and specs (via DAO vote for ex) for a given project and publishing it like a bounty hunter job board.
Then devs or studios can start working on the project and directly get paid when the product is delivered.
It cannot apply to all types of jobs, especially "background" tasks like maintaining code but it could be very effective at getting new concepts implemented rapidly and efficiently.

I think this is a pretty good proposal, except for one thing. $60k is WAY too much. Clayboyn currently lives in Thailand where $12k is a reasonable wage for a skilled worker.
To put it in perspective, a skilled, English speaking, software developer from Thailand makes an average wage of $15,600. So we could hire 3 or 4 developers for the same price tag.
I could maybe see $25k or $30k since Clayboyn has experience that makes him uniquely qualified for the position. But $60k feels like a lot of money for this job.
The Splinterlands company is currently making cuts and trimming down to a sustainable size. We as the DAO should learn from their mistakes and start by budgeting conservatively and carefully so we don't end up in the same position.
I had no idea he was Thailand based. That alleviates some of my primary issues of him being a US contractor subjecting the DAO to US tax law.

While I think we're at a point where the DAO probably needs someone, I'm not comfortable with that person remaining anonymous.
I also feel like the community needs to understand how the DAO funds are secured. Who has the keys to these wallets? Will it be the team still? Is it just Clayboyn? What are the safeguards?
It's nothing against Clayboyn but the idea of someone who wants to remain anonymous to the people of the DAO having the keys to the DAO is not something I feel OK voting yes to.

Any news about a modified version of this proposal with Weirdbeard and you both included in the deal? I would be more incline to vote yes knowing we got a team of 2 people getting in place to cover a larger set of skills.
I'm open to working with WB in whatever capacity the DAO desires. It would need to be a new proposal though. This one was already 5 days old. There's also the question of what happens if both of our names are on a single proposal and he leaves part way through as he'd be looking for a new fulltime role.
My suggestion, if we're going to try that, would be to have 2 part time proposals (1 for each of us). That said the DAO may end up with only 1 part time or neither. I also still support the DAO pursuing only WB if it wants to do so. He's an awesome guy and I'm sure he'll do great in whatever he puts his heart into.

I will be voting yes to show confidence in Matt. I do think, however, poor precedents are being set for future DAO hirings:
If Clayboyn remains anonymous (which is his right although I personally consider it incorrect practice) there must be guarantees from SPL of their maintaining up to date records of personal details to enable legal action in the event of malfeasance. This isn’t a slight against Clayboyn who I think would work well for the DAO, it’s mandatory in financial sectors and should be applied to any employee.
The contract of employment should be available for all to view. I’m unsure who would draw up the contract (BlockchainFF? Matt?), but if the DAO is hiring someone, it seems necessary to have the contract displayed from the time the proposal is put forward to avoid ambiguity.
There should be a clear rubric from which the community can assess any DAO employee’s work. As the first potential employee, Clayboyn could perhaps suggest ideas on this front. It is essential to see work (excepting NDA negotiations) being undertaken and completed so the DAO can determine if a reasonable return is being had from the proffered salary.
As a final thought I also believe prospective employees of the DAO should face a supermajority (66.6%) vote to be hired, but only a majority (50%) vote to be removed. This seems logical from all standpoints. Withdrawals from the DAO should entail substantial friction, while cost-saving measures should encounter minimal resistance.
I’d like to see the proposal updated to address the above points.
Wow, the truth is I'm not aware of clayboyn's qualifications but the payment is too high, with this I don't mean that he doesn't deserve it, it's just that at this time we have to optimize the money, surely for 2000 dollars a month it could be look for a person with adequate qualifications for the job, in many jobs in many companies they stop hiring people because they are "overqualified" and the salary does not suit them, I think this would be the case if clayboyn's qualifications are good and The salary of 5000 dollars a month is adequate, we should look for another person because at this moment he would be overqualified for what we need.

Because of the constant delays in this project, as an alternative I would suggest the following:
30-40k salary and the rest, 20-30k (is a bonus)
Before setting up a DAO vote in order to hire him, he should provide us with targets based on the S.M.A.R.T concept = Specific, Measurable, Attainable, Relevant, Time-based.
If in 1 year, he manages to achieve everything he presented, give him the bonus. If he does not manage to achieve everything, than there is no bonus.

I have had a lot of jobs, and both founded and/or managed several businesses in the creative industries. Based on the job description, this only sounds like a part time job to me. Either way, could we get greater clarity on the duties, commitment, terms, and hours.
The average personal income in the USA is $63,214 and the median household income is $74,580 so $60.000 seems too high.

I agree with most arguments against this. I know most countries pay way less than the USA but this still feels like a pretty big salary for this function. Not only that, but we need to do a proper hiring process, not just hire a friend. Next thing we know and we'll be emptying the DAO by hiring a bunch of friends.
I would rather do like what we did with the most recent pack sale. Where $60,000 is sent to the company and then the company manages the hires. I 'm not exactly sure that's how this is currently setup or worded. But hiring directly from the DAO sounds like a huge mess. That's just my opinion so I'm curious to hear more on the subject.

First I was very sceptical because I don't really know what a DAO really is. I thought it is a company that only exists in the digiworld (internet). But as I saw that it is Yabapmatt who made this proposal ... well I will vote with yes. So clayboyn will be the first official freelancer of the SPS DAO.
60K USD a year...no way, this is simply way too much for such role. Let's stop spending money like drunken sailors. Let's be responsible for once. Trial run of 3 months, $2,000 USD per month, and then extend the contract following a performance review and a vote by the community.
i wonder how it works with the laws and the taxes, the dao can hardly write an employment contract or deal with the tax office. or can you just hire workers or work in the relevant countries. without this has to be reported somewhere and no one checks it because the tax office does not want taxes or trust the people blindly? can there be problems for the dao in the end? does he end up working for splinterlands after all?
I decided to vote for this proposal as I feel the position is something that we the DAO need to have. What the end responsibilites will be is going to be a work in progress and I feel that more will be added onto @clayboyn shoulders.
Will we keep him in this positition I don't know, and that is something that we the DAO will need to watch and decide as time goes by.

Honestly, I really dislike this idea. While I think Clayboyn is great at what he does, I think this puts the DAO in a really precarious position when it comes to employing people. What are the tax implications here? Presumably he will be strictly a contractor. In the US which I believe he is based out of, this would put requirements on the DAO to then issue 1099s etc as an 'employer'. I think this is a much bigger can of worms than we want to dive into.
That said, I'm sure we have already dipped our toes into this to some degree and from a legal perspective I honestly would like to see more formal considerations in place.

Well, the people with the most SPS to control the DAO votes are the ones putting forward these proposals.
SPS was largely funneled to specific people that supported the project early on. It is decentralized in the functionality but not in the realistic execution of SPS holding. Early movers almost always have significant advantage. If that is fair or not is up to you.
I find it interesting to analyze SPS holdings time to time.
There is approximately 728M SPS held by end users, guilds, and the likes (1,147,790,700 total - DAO, engine, and SPL holdings = 728,922,345). Currently 693M of that SPS is staked.
This means that 10-14 people/accounts control at least 5% of all potential voting power and the top 190 accounts (excluding DAO and SPL related) control 44.81% of voting power. Given that these people listed here very likely have other accounts I'm not aware of it is reasonable to assume that what these people want is basically going to be what happens. They obviously don't have majority and would have to have some sort of insider network to collaborate. Further, they still have to do some general convincing but that is a lot of power concentration. Finally, this is held SPS and not staked SPS so the chart represents potential vote power assuming full stake of all sps and not actual. If they are fully staked their vote power is likely much higher.

Clayborn seems like a awesome dude from what I have seen but 60k is insane. this is not a full time job, also we need to get real life info on him. As many have said before, this could be done for half the cost. It kind of irks me we are back to trying to pilfer the Dao funds again. If SPL could stand to lose his services and not have issues, why is it needed now but only if funded by the Dao? I really wish that the people voting yes on this would stop and take a minute to look into the future and where they think we will be in 10 years. Now keep adding people being hired from the Dao to do jobs that was already being done by people not being paid from the Dao. I find this highly irresponsible given the Splinterlands company's mass hiring and then (shortly thereafter) mass layoff last year.
This proposal is too large and places too many responsibilities on one person. I agree with the point that Matt makes that the DAO and SPL team should make a hand-off of some of the responsibilities listed, but this feels like a haphazard and rushed solution to that. Needs more laser focused and measurable goals.
For instance: "Create and maintain DAO-sponsored Splinterlands tournaments and work with the community to gather feedback on tournament schedules and parameters" is a pretty loosely defined statement. How much is the DAO going to allocate towards this? Is Clay to create and decide this? Feels a little too vague for me when drilling down and this is merely one bullet point.
Negotiating with exchanges on listings, designing and maintaining sponsored tournaments, and managing social media are all very different hats. Having a single point of accountability for all these things is not the answer, it's just dumping a heap of stuff and hoping for a great outcome. $60K seems like a reasonable outlay for some of the things mentioned, but I'm against the bundled nature of this and would much rather see individual, targeted proposals that have specific numbers and goals that we can measure success against.
Generally when hiring, there would be an advertisement, and the opportunity for people to apply to make sure there is a fair, open and transparent process within an organisation. Did this process happen with this selection, how was the selection done in this case? were there interviews etc.
Further usually the salary is set having regard to benchmarks provided by reputable consultants, did this occur and if so I think we should publish the survey results (if permissible) so that the salary can be justified.
Has the management of this game/company ever made any sound decisions? It’s laughable. Honestly just look at how poorly it has performed over the pats 2-3 years. The fact that they’re suggesting this proposal is a clear vote that it should NOT happen imo.
Let the game die already. It’s not even a game anymore, they don’t even focus on the mechanics of the game to make it better or attractive.
But what do I know.
I don't believe $60k is a lot of money for how much work and the type of work Clayboyn will be doing. I listened to him speak on Gank's stream and he seems to care a LOT about Splinterlands and the DAO. It doesn't matter if he's in the U.S. , Thailand or the moon. We're paying to get someone well-qualified and trusted to handle delicate exchanges of information. This alone is actually worth paying more for to get someone like this.
Also it should apprease most people that this agreement may be terminated at any time by only a 50% vote. (This was just updated for this specific contract)
This is a no-brainer guys. I think we begin to see how much Splinterlands was doing on the DAO's behalf very soon as Matt mentioned..
I have one request: Can we have a DAOn Hall.

Correct me if I'm wrong but isn't the game's reputation on its ass with nearly everyone having fled? Now while I'm not trying to say that's his fault, it is though fair to say that there would appear to be no evidence from the game's social media presence that he has done enough to deserve this frankly fantastic salary to live it up while living in Thailand. Can we see his actual qualifications, work history and everything else? Also how does hiring a friend and occasional colleague of the team amount to the Dao being independent from Splinterlands?
It's a no for me.

so in the mind of SPL company with track record of massive incompetence, neglect and misappropriation of funds, he should get at least double that amount, 120k / month, or since he's in Thailand let's make it double that to what Weirdbeard the E-Sport manager in a game without an e-sport got who did almost nothing, so he can buy a villa while CL packs aren't even worth a single $ lol

An easy NO. 60K USD is way too high for someone staying at Southeast Asia and Splinterlands social media management, especially on Twitter was poor..There's little to no promotions the past few years, especially during the bull market! Whoever's in charge only used it more like an info and announcements dump! Absolutely no promotions to bring in new players into the ecosystem!
With the rise of DEXes, CEX listing outside the top few CEXs are pretty much useless. There's no guarantee one person can get it unless it's also paid by the DAO!
Apart from the initial partnership with Pancakeswap for SPS, most partnerships have flopped since then and always tried to extract from the existing Splinterlands community.
How can the DAO hire someone yet report to the team?
Does he even have a valid working visa at the moment?
We are deep in the bear market, recession coming, people lost jobs and now we want to pay a guy "appropriately"?
